How do we work?
Our commodity trading firm acts as mediators between the buyer and seller, participating in the commodities futures trading. Our experienced Master Trader and a team of advisers in our firm deal with the purchase and sales orders on behalf of their clients in the commodity trading exchanges and the stock market. The private investor and/or the retail investors get an idea about the forthcoming demand and supply conditions from the Senior traders and their team of advisers. Share transfers and issuing new shares
Private limited companies will generally have at least one share when they are incorporated. As they grow, it may be necessary to issue new shares to bring in new investment or change the business structure. Shareholders might also want to transfer their shares - either for business or personal reasons.
Rather than issuing new shares, existing shares can be transferred to new recipients, either for business or personal reasons. Shareholders may decide to relinquish some of their shares and transfer them to a new key business partner, to bring them on board. A shareholder may want to transfer some (or all) of their shares to their spouse or a family member, as a gift. Alternatively, shares can be sold in return for cash or other assets (such as shares in another industry).
First our legal and analyst department will check your company articles of association or "shareholders agreement". If the relevant authorizations are in place, a Stock Transfer Form should be completed and provided to both transferor and transferee. If stamp duty is payable, the
Stock Transfer Form is sent for stamping and stamp duty is paid for the transferor. The transfer should then be considered by the board before being approved. The share certificates being transferred are then canceled and new ones are issued. The transfer should be confirmed as part of the Annual Returns.
Stamp duty is payable by the transferor of the share if the purchase price exceeds $10,000.
The main difference is that issuing (or allotting) shares creates new shares that are distributed amongst shareholders - often when a company is set up. Share transfer, by contrast, involves the transfer of existing shares - always after the company has been formed. Also stamp duty is normally payable by the purchaser when shares are transferred, but not in respect of shares issued or allotted.
